The terms “we,” “us,” and “our” refer to VALESSTRA LLC. VALESSTRA LLC operates this website and online store, including the information, content, features, tools, products, and services made available through it (collectively, the “Services”).

Our store is powered by Shopify, which provides the ecommerce platform that allows us to offer and sell our products to you.

These Terms of Service (“Terms”) describe your rights and responsibilities when you access or use the Services or purchase products from us.

By visiting, interacting with, or using the Services, you agree to these Terms and to the policies referenced in them, including our Privacy Policy and our Shipping, Returns & Warranty Policy.

If you do not agree to these Terms, you should not use the Services.

By using the Services, you represent that you are at least the age of majority in your state or jurisdiction of residence, or that you have the consent of a parent or legal guardian where required by applicable law.

If you create an account, you are responsible for maintaining the confidentiality and security of your account credentials and for activity that occurs through your account.

We make reasonable efforts to accurately describe and display our products, including their appearance, dimensions, materials, finishes, colors, and other characteristics.

However, product appearance may vary slightly from photographs or other representations because of lighting, photography, screen settings, device displays, manufacturing tolerances, and the natural characteristics of materials and finishes.

Small variations that do not materially change the design or functionality of a product may occur.

We reserve the right to update product information, discontinue products, or limit quantities when reasonably necessary.

Materials Disclosure

Valesstra jewelry is primarily crafted from 925 sterling silver and may feature gold plating, gold vermeil, rhodium plating, cubic zirconia, pearl accents, or other materials and finishes depending on the specific style and variant.

Materials and finishes vary by product and variant. The material information displayed on the applicable product page is the primary description for the item you are purchasing.

Unless expressly stated on a specific product page, we do not represent that a product is hypoallergenic or suitable for every individual with metal sensitivities or allergies.

Customers with known metal sensitivities or allergies should review the material specifications for the applicable item before purchasing.

Individual reactions to metals and jewelry materials may vary.

SECTION 3 — ORDERS

When you place an order through the Services, you are making an offer to purchase the products included in that order.

Receiving an order confirmation does not necessarily mean that we have accepted your order.

We reserve the right to decline, cancel, or limit an order where reasonably necessary, including because of product availability, pricing or listing errors, suspected fraud or unauthorized activity, payment issues, shipping restrictions, or other operational concerns.

If we cancel an order after payment has been collected, the applicable amount will be refunded to the original payment method.

Please review your order carefully before submitting it.

If you need to request an order cancellation or shipping-address change, contact us as soon as possible at help@valesstra.com.

We cannot guarantee that an order can be changed or cancelled once processing has begun or the order has been transferred to the shipping carrier.

Returns, exchanges, refunds, and warranty claims are governed by our Shipping, Returns & Warranty Policy.

SECTION 4 — PRICES, PAYMENTS AND BILLING

Product prices, promotions, and discounts may change from time to time.

The price charged for a product will be the price displayed and applicable at the time your order is submitted, subject to correction of obvious pricing or listing errors.

Unless expressly stated otherwise, displayed product prices do not include applicable sales taxes, shipping charges, customs duties, import taxes, or other destination charges.

Applicable charges will be displayed at checkout when available.

You agree to provide current, complete, and accurate billing and payment information.

By submitting payment information, you represent that you are authorized to use the payment method provided.

Payment processing may be provided by Shopify or other third-party payment processors. Your use of those payment services may also be subject to the applicable provider's terms and policies.

We reserve the right to correct pricing or billing errors.

If an error materially affects an order you have already submitted, we may contact you before fulfilling the order or cancel the affected order and issue an appropriate refund.

SECTION 5 — SHIPPING AND DELIVERY

Orders are shipped in accordance with our Shipping Policy.

Shipping rates, free-shipping eligibility, processing estimates, delivery estimates, available shipping services, and destination limitations are described in that policy and at checkout where applicable.

Delivery dates and transit times are estimates and are not guaranteed.

Shipping carriers may experience delays because of weather, service interruptions, incorrect or incomplete delivery information, carrier operations, customs processing, or other events outside our reasonable control.

We will assist customers with shipping and tracking issues when reasonably possible.

Nothing in these Terms is intended to limit any rights or remedies you may have under applicable consumer protection law with respect to lost, damaged, or undelivered orders.

SECTION 6 — RETURNS, EXCHANGES AND WARRANTY

Eligible purchases may qualify for return or exchange under our Shipping, Returns & Warranty Policy.

That policy describes eligibility requirements, return timeframes, return shipping responsibilities, refunds, exchanges, damaged or incorrect items, jewelry care, and our 1-year limited warranty for qualifying manufacturing defects.

Normal wear and tear, gradual tarnishing, plating wear, scratches, accidental damage, improper use or storage, and exposure to substances or environments described in our care guidance are not manufacturing defects.

Nothing in these Terms or our limited warranty is intended to exclude or limit rights that cannot legally be excluded or limited under applicable law.

SECTION 7 — INTELLECTUAL PROPERTY

The Services and the content made available through them, including trademarks, logos, brand names, text, graphics, photographs, product photography, videos, artwork, designs, site layout, and other original content, are owned by or licensed to VALESSTRA LLC unless otherwise indicated.

That content is protected by applicable intellectual property laws.

You may access and use the Services for personal, lawful, non-commercial purposes.

You may not reproduce, distribute, republish, modify, publicly display, commercially exploit, or create derivative works from our protected content without our prior written permission, except as permitted by applicable law.

Nothing in these Terms transfers ownership of any Valesstra intellectual property to you.

Third-party names, trademarks, logos, and other intellectual property remain the property of their respective owners.

SECTION 8 — OPTIONAL TOOLS AND THIRD-PARTY SERVICES

The Services may provide access to tools, features, applications, payment services, social-media integrations, or other services provided by third parties.

We do not necessarily control those third-party services.

Your use of third-party services may be subject to the terms, privacy policies, and other conditions established by the applicable third party.

To the extent permitted by law, we are not responsible for third-party services that are outside our control.

We may add, remove, or modify optional tools or integrations from time to time.

A link does not necessarily mean that we endorse or control the third-party website, product, service, or content.

Our ecommerce store is powered by Shopify.

Shopify provides technology and infrastructure that enable us to operate the Services.

Purchases made from Valesstra through our store are transactions between you and VALESSTRA LLC, not between you and Shopify, except to the extent Shopify or a Shopify service separately provides a particular payment or customer service directly to you.

Shopify may collect and process information in connection with providing its services, as further described in our Privacy Policy and Shopify's applicable privacy notices.

SECTION 11 — PRIVACY

Our collection, use, storage, and disclosure of personal information is governed by our Privacy Policy.

Because the Services are powered by Shopify and may use other service providers, personal information may be processed by Shopify and other providers that help us operate our store, process payments, provide analytics, communicate with customers, prevent fraud, fulfill orders, or provide other business services.

SECTION 12 — REVIEWS, FEEDBACK AND USER CONTENT

If you voluntarily submit a product review, photograph, comment, suggestion, testimonial, idea, or other content to us or through the Services (“Feedback”), you represent that you have the right to provide that Feedback.

You also agree that your Feedback will not knowingly violate the rights of another person, contain unlawful material, impersonate another person, or intentionally provide materially false or misleading information.

By submitting Feedback for publication or promotional use, you grant VALESSTRA LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, adapt, and publish that Feedback in connection with operating, marketing, and improving our business and Services.

This license does not transfer ownership of your Feedback to us.

We may moderate, decline to publish, or remove Feedback when reasonably necessary, including content that is unlawful, fraudulent, abusive, infringing, misleading, or unrelated to the product or Services.

Where disclosure of compensation, free products, discounts, or other incentives is required by law, those relationships should be disclosed.

If an error materially affects an order that you have already submitted, we may contact you, provide an opportunity to proceed where appropriate, or cancel the affected order and refund amounts collected for that order.

We strive to provide accurate information, dependable service, and quality products.

However, no website, ecommerce service, or digital platform can be guaranteed to operate continuously or without error.

Except for any express warranty or commitment specifically provided in our Shipping, Returns & Warranty Policy, on a product page, or as otherwise required by law, the Services are provided on an “as available” basis.

To the fullest extent permitted by applicable law, we disclaim warranties relating solely to the operation and availability of the Services that are not expressly provided by us.

Nothing in this section eliminates or reduces our express 1-year limited warranty for qualifying manufacturing defects or any warranty, consumer protection, or other rights that cannot legally be excluded.

To the fullest extent permitted by applicable law, VALESSTRA LLC and its affiliates, officers, employees, contractors, service providers, and licensors will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from or relating to your use of the Services when such damages may lawfully be excluded.

This limitation does not apply where liability cannot legally be excluded or limited.

Nothing in these Terms limits liability for fraud, intentional misconduct, or other liability that applicable law does not permit us to limit.

Your statutory consumer rights are not affected.

SECTION 18 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to be responsible for losses, claims, or liabilities arising directly from your unlawful misuse of the Services, your material violation of these Terms, or your infringement of the legal rights of another person.

This section does not require you to indemnify us for losses caused by VALESSTRA LLC's own negligence, misconduct, violation of law, or breach of these Terms.

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, where necessary, severed from these Terms.

The remaining provisions will continue in effect.

Our failure to exercise or enforce a right under these Terms does not constitute a waiver of that right.

These Terms, together with the policies and other terms expressly incorporated by reference, constitute the agreement between you and VALESSTRA LLC concerning your use of the Services and supersede prior agreements concerning the same subject matter.

Nothing in this section overrides representations or obligations that applicable law does not permit us to disclaim or modify.

These Terms and any dispute relating to the Services will be governed by the laws of the District of Columbia, United States, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

To the extent permitted by law, disputes may be brought in courts with jurisdiction in the District of Columbia.

Nothing in this section deprives a consumer of protections or rights that cannot legally be waived under the laws applicable to that consumer.

We may update these Terms from time to time to reflect changes to our Services, policies, business practices, or legal or regulatory requirements.

The current version will be posted on this page with an updated effective date.

When required by applicable law, we will provide additional notice of material changes.

Changes will apply prospectively from their effective date unless otherwise permitted or required by law.
